The strategic transaction marks another major milestone in Distribution Solutions Group’s ongoing corporate expansion, blending robust supply chain capabilities with an extensive network of on-site service providers.

GradeEight operates as a prominent distributor of maintenance, repair, and operations (MRO) products, utilizing its Winzer Corporation and FastServ Supply divisions to serve a broad professional clientele. According to the companies’ official announcements, the enterprise works closely with an extensive network of roughly 270 independent franchisees scattered across the United States. These franchisees maintain a deeply ingrained local presence, delivering specialized products and dedicated service directly to commercial, industrial, and retail end-users.

This upcoming acquisition aligns seamlessly with Distribution Solutions Group’s broader strategic initiatives. Throughout 2025 and 2026, the parent organization has systematically focused on upgrading and expanding its internal ecommerce capabilities. Under the terms of the new agreement, these digital enhancement efforts will soon encompass the specialized transactional websites and digital ordering platforms utilized by both Winzer Corporation and FastServ Supply. To execute the transaction, Distribution Solutions Group intends to finance the purchase price through a strategic combination of available cash on hand and existing corporate credit facilities.

Why Distribution Solutions Group is Acquiring Winzer and FastServ Supply

Corporate leadership at Distribution Solutions Group views the integration of GradeEight as a vital catalyst for accelerating market penetration within the highly fragmented MRO sector. Executive management believes that acquiring a well-established franchise network will instantly amplify the company’s ability to reach regional buyers who prefer high-touch, localized customer service paired with a reliable supply chain.

J. Bryan King, chairman and chief executive officer at Distribution Solutions Group, highlighted the unique strengths and operational maturity that GradeEight brings to the corporate fold. He emphasized that the targeted company has successfully carved out a differentiated business model built around dedicated local operators.

"GradeEight, through its Winzer and FastServ Supply businesses, has successfully built a differentiated on-site business with committed franchisees serving a loyal customer base and enjoying a strong market presence across the MRO market and retail channels," said J. Bryan King, chairman and CEO at Distribution Solutions Group. "Their complementary capabilities, broad marketplace coverage, and established presence enhance DSG’s platform and our ability to serve customers across key regions."

King further elaborated on the strategic opportunities he anticipates once the transaction is officially finalized and integration efforts begin. The leadership team expects to pour additional investments into digital tools, expanded product inventories, and localized growth initiatives designed to empower individual franchisees and physical store managers. By doing so, the company hopes to deepen long-term engagement with commercial buyers who rely on timely access to essential maintenance and repair supplies.

"We are excited to invest in tools, products, and other growth opportunities for its franchisees and FastServ locations to deepen engagement with their customers," King stated. "We are pleased to welcome the GradeEight team to DSG and look forward to leveraging our combined strengths to drive continued growth and value for our customers, suppliers and associates."

Where GradeEight Will Fit In

From a financial and operational standpoint, GradeEight Holdings represents a substantial addition to Distribution Solutions Group’s portfolio. The acquired business is projected to contribute approximately $110 million in annual sales to its new parent organization. Corporate leadership anticipates that the transaction will satisfy all customary closing conditions and officially conclude by the end of the fourth quarter of 2026.

Upon the successful closure of the deal, GradeEight’s operations will be integrated alongside Lawson Products, another major MRO distributor operating under the Distribution Solutions Group corporate umbrella. This alignment is expected to generate significant operational synergies, streamlining procurement, inventory management, and logistics across the shared brand network.

Cody Patterson, chief executive officer of GradeEight Holdings, expressed immense optimism regarding the corporate transition and the long-term benefits the deal will afford to internal stakeholders, employees, and independent partners.

"This transaction represents an exciting new chapter for GradeEight," said Cody Patterson, CEO of GradeEight Holdings. "By joining DSG and working alongside the Lawson Products team, we gain access to expanded resources, product categories, and operational capabilities that will benefit our customers and supplier partners."

Beyond financial contributions and digital assets, the acquisition brings substantial physical infrastructure into the Distribution Solutions Group ecosystem. Winzer will incorporate strategic distribution facilities located in Texas and Michigan, reinforcing the parent company’s supply chain grid in key geographic zones. Additionally, FastServ Supply brings a network of eight physical retail stores situated across Arkansas and Texas. These brick-and-mortar storefronts cater directly to commercial clients operating across a diverse cross-section of industries, providing immediate product availability and localized expertise.

Reflecting on the journey of the company and the relationships forged over years of dedicated service, Patterson expressed deep gratitude to the workforce and the independent operators who helped build GradeEight into an attractive acquisition target. He remains confident that the new corporate parent provides the ideal platform for future expansion.

"We are grateful for the relationships we have developed over the years and believe this combination positions our franchisees, our business and our employees for continued success and new opportunities in the future," said Patterson.

As Distribution Solutions Group prepares to finalize the transaction late next year, industry observers will be watching closely to see how the integration of GradeEight’s franchise network and digital infrastructure influences the broader competitive landscape of industrial distribution and B2B ecommerce.

Distribution Solutions Group Inc. has announced plans to significantly broaden its sales footprint across both digital storefronts and physical brick-and-mortar locations through a definitive agreement to acquire GradeEight Holdings LLC.
