The company has officially announced plans to spin off Pearl as an independent, publicly traded entity through a landmark deal.

Under a nonbinding letter of intent signed by David’s Bridal and K&F Growth Acquisition Corp. II—a special purpose acquisition company (SPAC)—the two organizations have outlined a process that will take Pearl public. Ultimately, the strategic plan calls for Pearl to eventually assume ownership of the David’s Bridal brand and its broader intellectual property portfolio.

David’s Bridal currently holds the No. 460 position in the Top 1000 Database, a comprehensive market research tool that tracks North America’s largest online retailers by ranking them according to annual ecommerce sales and other performance metrics. Furthermore, the bridal giant is ranked No. 178 in the AI Commerce Rankings compiled by Digital Commerce 360 and ReFiBuy, a specialized dataset available through the Top 1000 Pro with AI Database.

Why is David’s Bridal spinning off Pearl?

Describing the move as a defining juncture in the enterprise’s three-quarters of a century in business, David’s Bridal CEO Kelly Cook emphasized the immense potential of the restructuring. "This is an exciting milestone in David’s Bridal’s 75-year history and a defining moment for our future," Cook said. "Pearl is shaping the next generation of wedding planning, and this next step will give both businesses room to grow independently while continuing to strengthen each other."

In an official press release, the company revealed leadership plans following the transition. Kelly Cook is expected to transition into the role of chief executive officer at Pearl. Meanwhile, Elina Vilk, currently serving as the president and chief business officer at David’s Bridal, is slated to take on the role of president at the newly independent Pearl.

Executives believe the structural separation will allow the technology platform and the traditional retail footprint to mutually benefit one another while pursuing aggressive individual growth trajectories. "With Pearl’s agentic technology and proven business model, combined with David’s Bridal’s strong brand and retail presence, we see tremendous opportunities to help more couples plan their weddings and connect with vendors who can bring their visions to life," Cook added.

Beyond its core agentic wedding planning assistant features, Pearl oversees a robust digital footprint that includes the Pearl Media Network. This specialized retail media network was originally established when David’s Bridal acquired Love Stories TV. Additionally, the platform operates Pearl Connect, a proprietary software solution engineered specifically to streamline the conversion of qualified leads into confirmed bookings for industry vendors.

Financial and market experts have expressed strong optimism regarding the transaction. Edward King, co-CEO at K&F, highlighted the strategic alignment between Pearl’s software capabilities and the broader wedding ecosystem. "Pearl pairs longstanding relationships across the wedding industry with an asset-light software and media monetization model. We look forward to partnering with Kelly, Elina, and the Pearl team and believe our capital markets and M&A expertise will help accelerate Pearl’s growth," King noted.

What’s next for David’s Bridal if the deal goes through

The financial mechanics driving the proposed transaction point to robust investor confidence in the digital platform’s market viability and financial health. Dan Fetters, the other co-CEO at K&F, pointed to specific financial metrics that attracted the acquisition firm to the partnership. "We were drawn to Pearl’s compelling trifecta of established profitability, highly attractive growth potential and unlevered pristine balance sheet, which, in combination, we believe will create substantial public shareholder value," Fetters said.

Although a definitive, binding agreement has not yet been finalized, the announcement issued on October 22 provides clear assurances regarding the day-to-day operations of the brick-and-mortar retail locations. According to the terms outlined in the preliminary agreement, David’s Bridal stores will remain entirely unaffected by the corporate restructuring. Outlets will continue to operate as usual, ensuring zero disruption to daily business functions, customer appointments, product lines, services, or the overall guest experience following the completion of the proposed transaction.

The proposed deal values Pearl at $350 million. In addition to the baseline valuation, the transaction framework calls for $75 million in private investment. Out of that total, $25 million is earmarked to come from CION Investment Corporation, which currently stands as David’s Bridal’s largest shareholder.

Business projections released by David’s Bridal underscore the rapid scaling expected from the AI-driven platform. The company asserts that approximately 90% of all brides in the United States already interact with Pearl in some capacity during their engagement journey. Looking ahead, retail forecasts project that Pearl will achieve profit margins exceeding 30% by 2026. Furthermore, leadership anticipates that revenue will surge by more than 100% year over year in 2027, ultimately pushing annual revenue past the $85 million threshold.

Retailer David’s Bridal is preparing to take its next major step in digital transformation following its 2025 transition to Shopify, which laid the groundwork for an agentic artificial intelligence reimagining of its Pearl wedding planner platform.
